Avnet to acquire USI Electronics

Deal expands electronics distributor’s footprint in the defense aerospace market

In a move that expands its defense and aerospace business, Avnet announced today its agreement to purchase Florida-based distributor Universal Semiconductor, Inc., which goes to market as USI Electronics. The deal is expected to close in 30 days, and USI will be integrated into the company’s Avnet Electronics Marketing, Americas business unit.

USI Electronics specializes in discrete semiconductor, passive and electromechanical components to military and aerospace customers.

 “This acquisition is of strategic importance as it enhances our competitive position in the higher value defense and aerospace segment,” said Ed Smith, president of Avnet Electronics Marketing, Americas. “USI is a respected leader and established player in the space with a strong emphasis on providing business partners a best-in-class experience. Their value proposition complements our strategy as we extend our leading position in serving the electronic component needs of this vital segment.”

USI Electronics has 58 employees across five offices in the United States and one in Denmark. The company generated roughly $70 million in revenue in 2011.

Avnet said it expects the acquisition to be immediately accretive to earnings and supports the company’s return on capital goal of 12.5%.

The deal follows three other acquisitions by Avnet EM this year: Japan-based Internix, Israel-based C.R.G. Electronics, and Germany’s Altron GmbH & Co. KG.
